These Terms of Service ("Terms") govern your access to and use of OptiqOS (the "Service"), operated by NaviPoint Technologies LLC ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

OptiqOS is a business intelligence and operations platform designed for advisory firms. The Service provides client management, task tracking, third-party integrations, reporting, and related tools accessible at app.optiq-os.com.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. By using the Service, you represent that you meet these requirements.

3. Account and Access

  • Access to the Service is provided through Microsoft OAuth authentication or magic link invitations.
  • You are responsible for maintaining the security of your account credentials and authorized sessions.
  • You agree to notify us immediately of any unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Upload malicious code, viruses, or harmful content
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Use the Service to store or transmit content that infringes on intellectual property rights

5. Your Data

You retain ownership of all data you input into the Service ("Your Data"). By using the Service, you grant us a limited license to store, process, and display Your Data solely to provide and improve the Service.

6. Third-Party Integrations

The Service allows you to connect third-party accounts (e.g., QuickBooks, Google Ads, Google Business Profile) via OAuth. When you connect a third-party service:

  • You authorize us to access data from that service on your behalf
  • You are responsible for ensuring you have the right to authorize such access
  • We are not responsible for the availability, accuracy, or security of third-party services
  • You may disconnect integrations at any time through the Service

7. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by NaviPoint Technologies LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless NaviPoint Technologies LLC and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

Either party may terminate these Terms at any time. Upon termination:

  • Your access to the Service will be suspended
  • You may request export of Your Data within 30 days of termination
  • We may delete Your Data after the 30-day period
  • Provisions that by their nature should survive termination will remain in effect

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware or through binding arbitration at our election.
